| Robert E. Mead is the founder of Silverleaf Resorts and has served as the Company Chairman and CEO since its inception in 1989. With over 27 years of industry experience, Mr. Mead is considered a pioneer in the timeshare industry. He began his career in hotel and motel management and also operated his own construction company before acquiring his first timeshare project in 1981. Mr. Mead is a Trustee member of the American Resort Developers Association (“ARDA”). |

| Sharon K. Brayfield has over 25 years of industry experience and is responsible for the day-to-day operations of marketing efforts to existing customers. In the past, Ms. Brayfield has served in various capacities with the Company, including Chief Operation Officer and President. |

| David T. O’Connor |
Senior Executive Vice President – Sales

| David T. O’Connor has over 29 years of experience in real estate and timeshare sales and was named the Senior Executive Vice President of Sales in 2008. He is responsible for the entire sales organization including all field sales, the design and preparation of all training materials, incentive programs, and follow-up sales procedures. Mr. O’Connor previously served the Company as the Executive Vice President of Sales since 1997 and Vice President of Sales since 1991. |

| Joe W. Conner |
Chief Operating Officer – Finance, Development and Resort Operations

| Joe W. Conner was named Chief Operating Officer in 2003. His responsibilities include the Finance, Treasury, Resort Development and Resort Operations activities, and accounting functions of the Company. Mr. Conner also served as Chief Financial Officer of Silverleaf Resorts, Inc. during the Company IPO from 1997-1998. He has previously served as Chief Financial Officer for ACE Cash Express from 2001-2003, and prior to joining Silverleaf Resorts in 1997, Mr. Conner was the Chief Financial Officer of the Jacobsen Division of Textron, Inc. Mr. Conner is a Certified Public Accountant. |

| Edward L. Lahart was named Chief Operating Officer in May, 2009. His responsibilities include Marketing, Financial Services, Management Information Systems and Call Center Operations. Mr. Lahart has over 20 years with the Company and prior to this appointment, served most recently as the Executive Vice President of Operations since 2002 and the Vice President for Corporate Operations since 1998. |

| Thomas J. Morris was named Executive Vice President of Capital Markets & Strategic Planning in 2008. He is responsible for all capital market activities and serves as the primary contact for equity investors and analysts with the Company. Mr. Morris has over 15 years of experience in corporate banking and timeshare industry finance. Mr. Morris previously served Silverleaf Resorts as the Senior Vice President of Capital Markets since 2005 and as an independent consultant since 2001. |

| Harry J. White, Jr. was named Vice President and Treasurer in May 2008. Mr. White’s responsibilities include cash management, oversight and analysis of our consumer loan portfolio as well as sales quality control. Mr. White previously served as Chief Accounting Officer from February 2008 to May 2008 and as the Company Chief Financial Officer since 1998. From 1995 to 1998, Mr. White served as Vice President and Chief Financial Officer of Thousand Trails, Inc. a leisure company that sells RV and campground memberships. Prior to that time he was a senior manager with Deloitte & Touche LLP. Mr. White is a certified public accountant. |

| Robert M. Sinnott was named Chief Financial Officer in February 2008. He is responsible for all day-to-day accounting and financial reporting activities. Mr. Sinnott previously served as the Director of Finance from 1998 to 2003. Between 2003 and his return in 2008, he served as Vice President of Finance for Ashford Hospitality Trust, Inc., a Dallas-based publicly held owner of hotels. Mr. Sinnott is a certified public accountant. |

| Michael D. Jones was named Chief Information Officer in January 2007. Since joining Silverleaf Resorts in 1991, Mr. Jones has served in various positions within the Company including Vice President of Information Services, Director of Information Services, and Payroll Manager. Prior to joining Silverleaf he was Data Processing Manager for Computalog Wireline Products and Computalog Wireline Servies. |
